1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and NutriGrove Inc. ("NutriGrove," "we," "us," or "our") regarding your use of the NutriGrove mobile application, website, and related services (collectively, the "Service").

By downloading, installing, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Service.

NutriGrove is a nutrition tracking platform specifically designed for college students, with specialized integration for UMass Amherst dining services. Our Service includes:

2.2 Campus Integration

  • UMass dining hall menus and availability
  • Real-time wait times and crowd levels
  • Meal plan integration and tracking
  • Campus event and dining schedule updates

2.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our Service at any time, with or without notice. We are not liable for any such modifications, suspensions, or discontinuations.

3. Eligibility

3.1 Age Requirements

  • You must be at least 13 years old to use our Service
  • Users under 18 may require parental consent
  • College students receive full access to all features

3.2 Geographic Restrictions

Our Service is primarily designed for users in the United States, with specific features available only to UMass Amherst students and affiliates.

3.3 Account Limitations

You may only create one account per person. Creating multiple accounts or sharing accounts is prohibited and may result in termination of service.

4. Account Registration

4.1 Account Creation

To access certain features, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials.

4.2 Account Security

  • Choose a strong, unique password
  • Enable two-factor authentication when available
  • Notify us immediately of any unauthorized access
  • Log out of shared or public devices

4.3 Account Information

You agree to provide accurate information and keep your account information updated. False or misleading information may result in account suspension or termination.

4.4 UMass Integration

For full campus integration features, you may need to verify your UMass affiliation through official university systems or credentials.

5. Acceptable Use

5.1 Permitted Uses

You may use our Service for:

  • Personal nutrition tracking and health management
  • Accessing campus dining information
  • Participating in community features and discussions
  • Educational purposes related to nutrition and health

5.2 Prohibited Activities

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any applicable laws or regulations
  • Harass, abuse, or harm other users
  • Share false or misleading health information
  • Attempt to gain unauthorized access to our systems
  • Use automated tools to access or scrape our Service

Our community features are designed to support positive health behaviors. Content that promotes eating disorders, extreme dieting, or unhealthy behaviors is strictly prohibited.

5.3 Enforcement

We reserve the right to investigate and take appropriate action against users who violate these terms, including warning, suspension, or termination of accounts.

6. User Content

6.1 Your Content

You retain ownership of content you create or upload to our Service ("User Content"), including meal logs, photos, reviews, and social posts.

6.2 License to Use

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to:

  • Display, store, and transmit your content within the Service
  • Create aggregated, anonymized data for service improvement
  • Use content for customer support and troubleshooting
  • Comply with legal obligations and court orders

6.3 Content Standards

User Content must:

  • Be accurate and truthful

While we implement backup systems, you are responsible for maintaining copies of important User Content. We are not liable for any loss of User Content.

The Service, including its design, functionality, text, graphics, logos, and software, is owned by NutriGrove and protected by intellectual property laws.

7.2 Trademarks

"NutriGrove" and related logos are trademarks of NutriGrove Inc. You may not use our trademarks without written permission.

Our Service may include third-party content, software, or services. Such content is owned by their respective owners and subject to separate license terms.

7.4 DMCA Compliance

9.3 Individual Responsibility

You are solely responsible for your health decisions and any consequences of using our Service. We disclaim all liability for health-related outcomes.

9.4 Emergency Situations

In case of medical emergencies, contact emergency services immediately. Do not rely on our Service for emergency medical assistance.

9.5 Eating Disorders

If you have a history of eating disorders or unhealthy relationships with food, consult healthcare professionals before using nutrition tracking applications.

10. Payments and Subscriptions

10.1 Free and Premium Features

NutriGrove offers both free and premium features. Premium features require a paid subscription and are subject to additional terms.

10.2 Pricing

Current pricing for premium features is available in the app and on our website. Prices may change with notice as permitted by law.

10.3 Billing and Renewals

  • Subscriptions automatically renew unless canceled
  • Billing occurs through your app store account
  • Refunds are subject to app store policies
  • UMass students may receive educational discounts

10.4 Cancellation

You may cancel your subscription at any time through your app store account settings. Cancellation takes effect at the end of your current billing period.

10.5 Student Verification

Educational pricing requires valid student verification through SheerID or similar verification services.

11. Termination

11.1 Termination by You

You may terminate your account at any time by following the account deletion process in the app settings or contacting customer support.

11.2 Termination by Us

We may terminate or suspend your account if:

  • You violate these Terms or our policies
  • You engage in prohibited activities
  • Your account remains inactive for extended periods
  • Required by law or court order
  • We discontinue the Service

11.3 Effect of Termination

Upon termination:

  • Your access to the Service will cease immediately
  • Your data may be deleted according to our data retention policy
  • Outstanding payments remain due
  • Provisions that should survive termination will continue to apply

We are not responsible for the availability, accuracy, or reliability of third-party services integrated with our platform, including UMass dining systems.

12.4 User Responsibility

You acknowledge that your use of the Service is at your own risk and that you are solely responsible for any damage to your device or loss of data.

13. Limitation of Liability

13.1 Damages Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUTRIGROVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

13.2 Maximum Liability

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

13.3 Health-Related Limitations

We are not liable for any health outcomes, medical decisions, or consequences resulting from your use of our nutrition tracking and recommendation features.

13.4 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, or third-party service disruptions.

14. Indemnification

You agree to indemnify, defend, and hold harmless NutriGrove, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the Service
  • Violation of these Terms
  • Violation of any third-party rights
  • Your User Content
  • Your negligent or wrongful conduct

This indemnification obligation survives termination of these Terms and your use of the Service.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles.

15.2 Arbitration

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration administered by the American Arbitration Association.

15.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive your right to participate in class actions or collective proceedings.

15.4 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or violations of confidentiality obligations.

15.5 Jurisdiction

Any court proceedings shall take place in the state and federal courts located in Massachusetts.

Continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
